Section 378A · 37 Q&As
Membership, Producer Eligibility and Member Benefits
37 boardroom scenarios on who qualifies as an active member, CEO appointment rules, and the legal meaning of member benefits.
Practical handbooks, statutory registers, compliance guides, and a funding resource for Farmer Producer Companies under Chapter XXIA.
For farmers, directors, CEOs, accountants, and community organisers across India. Each handbook covers a specific section of the Act through practical boardroom scenarios with statutory answers.
Real-time compliance diagnostics, Section 115BAA tax simulation, statutory radar, and Chapter XXIA citations.
Defines foundational terms including Active Member, Chief Executive, Limited Return, Patronage, Patronage Bonus, Primary Produce, and Withholding Price.
Terms in Chapter XXIA take precedence over general Companies Act definitions for all Producer Companies.
Mandates that a Producer Company can only engage in activities related to primary produce of members, processing, input supply, power generation, insurance, and financial services.
An FPC cannot engage in speculative commercial activities outside Section 378B. Operating outside this section risks strike-off and tax exemption forfeiture.
Prescribes the mandatory subscriber minimum: ten or more individual producers, or two or more producer institutions, or a combination thereof.
All subscribers must provide verifiable primary producer proof at incorporation.
Enforces 1 Member = 1 Vote for individual producers and patronage-based voting for producer institutions, prohibiting capital-weighted dominance.
Section 378D prohibits weighted voting based on equity shares for individual farmers.
Outlines financial distribution principles: initial withholding price, surplus patronage bonus, limited return (dividends), and bonus shares.
Surplus distribution must prioritize patronage bonus over equity dividend return.
Specifies mandatory MoA clauses: Name ending with 'Producer Company Limited', Registered Office state, Objects under 378B, Capital, and Subscriber details.
The word 'Producer Company Limited' is a statutory mandatory suffix under Section 378F.
Every handbook in this series covers a specific section of Chapter XXIA of the Companies Act 2013 through practical boardroom scenarios with statutory answers. 282 questions and answers across the complete series — each handbook available separately at ₹99 inclusive of 18% GST.
Tax invoice includes full GST break-up (₹83.90 taxable value + ₹15.10 GST @ 18%). Registered FPCs and professional firms can enter their GSTIN and registered address at checkout to have the invoice issued in their name.

Understand how a Farmer Producer Company can lawfully receive donations, government grants, and CSR project funds — with board-level approval and correct accounting.
The agreement and actual transaction determine the legal treatment; the bank narration does not.
Distinguish between voluntary donation (without consideration), government grant (scheme-specific conditional assistance), CSR project fund (Schedule VII activity with defined beneficiary scope), commercial sponsorship (with promotional return), and member share contribution. Bank voucher labels do not override substantive contractual terms.
A lawful purpose, proper board approval, and a workable tripartite agreement come before expenditure.
Sections 378H & 378R require all grants and voluntary assistance to fall strictly within the Objects of the Producer Company. Require a formal Board resolution prior to executing grant agreements, confirming terms of indemnity, monitoring rights, and bank account escrow segregation.
A genuine domestic contribution may be accepted where lawful and within the company's objects.
An FPC can accept voluntary domestic contributions from individuals or corporations. However, obtain a formal Donor Letter of Intent, KYC/PAN of donor, source verification, and explicit stipulation that no reciprocal equity, dividends, or preferential member pricing are conferred in exchange.
A sanction, a disbursement, and income recognition are three distinct statutory accounting events.
A sanction letter alone does not create revenue. Disbursed funds must be held in dedicated escrow bank accounts. Capital asset grants must be credited to Capital Reserve under AS-12 rather than P&L, preventing artificial profit inflation and unlawful dividend distribution.
These three roles are legally distinct under Section 135 and must be crystal clear in the agreement.
An ordinary Chapter XXIA Producer Company does NOT automatically qualify as an Implementing Agency under MCA CSR Rules Rule 4 (which requires a Section 8 company, registered public trust, or registered society with a 3-year track record and Form CSR-1). However, an FPC can legally participate as a Project Beneficiary or Vendor delivering farmer training and inputs for a qualifying corporate CSR program.
Start with measurable farmer outcomes, then identify the Schedule VII connection.
Align proposals with Schedule VII items: (i) Eradicating hunger, poverty, and malnutrition; (ii) Promoting education and rural livelihood enhancement; (iv) Environmental sustainability and soil/water conservation; (x) Rural development projects. Define baseline farmer income, yield metrics, and verifiable audit trails.
Agree legal ownership, access rules, and maintenance before placing purchase orders.
Under MCA CSR Amendment Rules Rule 7(4), capital assets created via CSR funds cannot be owned directly by a commercial entity. They must be held by a Section 8 company, registered trust/society, or a collective public authority / farmer SHG federation. Clarify operational custody vs legal title.
Review the receipt for the correct tax period, charging provision, and applicable head of income.
Producer Companies are assessed as Companies under Section 2(17) and do NOT enjoy blanket Section 11/12 charitable exemptions. Receipts not tied to capital asset creation or agricultural income under Section 10(1) may be treated as revenue receipts under Section 28 or taxable gifts under Section 56(2)(x) unless properly structured.
Determine the underlying supply and consideration before choosing a tax invoice or receipt voucher.
Pure philanthropic donations without commercial consideration or brand visibility are outside GST. However, corporate contributions requiring prominent sponsor branding, product display, or exclusive distribution rights constitute 'Sponsorship Services' or 'Commercial Advertisement' subject to 18% GST (often under Reverse Charge Mechanism - RCM).
The books must reflect rights and contractual obligations, not the preferred tax outcome.
Maintain separate cost centres and project ledgers for each grant. Track expenditure voucher-by-voucher against sanctioned budget heads. Accompany bank reconciliations with physical inspection certificates and vendor e-way bills for external CAG or independent statutory audit.
Report actual eligible use, outstanding commitments, and unspent balances separately.
Issue Chartered Accountant-certified Utilisation Certificates (Form GFR-12A or donor format) matching exact expenditure heads. Track interest earned on unspent grant funds (which legally belongs to the sanctioning ministry/donor unless expressly permitted to be retained).
An Indian bank transfer or rupee payment does not by itself establish an Indian domestic source.
Section 2(1)(j) of FCRA 2010 defines foreign sources broadly, including Indian subsidiaries where >50% shareholding is held by foreign entities or foreign citizens. Direct or indirect receipt of foreign contributions without prior MHA approval or FCRA registration constitutes a serious non-bailable offense.
