Essential Practical Toolkits
Free Downloads60-Second Field Clarity
Concise legal and accounting guidance for the most frequent questions received by our secretarial desk. Bilingual English and Kannada operational summaries.
Under Chapter XXIA of the Companies Act 2013, only active primary agricultural producers can hold voting shares. If the nominee is a non-farmer, the board must buy back or cancel the shares at book/face value and disburse the monetary equivalent to the legal heir.
Matching Equity Grants cannot be recognized as profit & loss trading income. Under Accounting Standard 12, they must be credited to Capital Reserve / Capital Subsidy in the balance sheet and reflected as non-distributable equity for statutory credit rating.
Share certificates without distinctive numbers and folio references are legally defective under MCA rules. The board must pass a rectification resolution, update the Register of Members (Form MGT-1), issue re-numbered certificates, and ratify them in the subsequent AGM.
