An FPC AGM is not a formality — it is the constitutional moment where farmer members exercise democratic control. A defective notice or missing quorum makes your AGM legally invalid, which in turn makes all resolutions passed (including dividend, auditor appointment, and director election) voidable.

14-Day Notice: What Must It Include?

The statutory notice must be dispatched at least 14 clear days before the AGM date to every member's registered address or email. The notice must contain:

  • Date, time, and venue of the AGM
  • Ordinary business agenda items
  • Special business items (if any) with explanatory statement
  • Audited financial statements (balance sheet and P&L)
  • Board's Report and Auditor's Report
  • Proposed patronage bonus / dividend amount
  • Proxy form (if allowed by Articles)

Mandatory AGM Agenda Items for FPCs

  1. Adoption of Directors' Report and Audited Financial Statements for FY ___
  2. Declaration of Limited Return (Dividend) on share capital
  3. Declaration of Patronage Bonus and Bonus Shares (if applicable)
  4. Reappointment of retiring directors (rotation as per Articles)
  5. Ratification / reappointment of Statutory Auditor and fixing remuneration
  6. Any special business under Section 378S

Quorum and Voting Protocol

Quorum: At least 1/4th of total members must be present in person (not proxy, unless Articles specifically allow it).

Voting: Every individual farmer member gets exactly 1 vote regardless of shareholding (Section 378D). If members are Producer Institutions, voting is based on previous year's patronage.

If quorum is not present within 30 minutes of scheduled start time, the meeting must be adjourned to the same day next week at the same time and place — automatic adjournment rule applies.
